申请前应先确认Before Filing
- 申请人需证明 key individuals、representatives、董事/管理层符合 fit and proper、诚信、资质、经验和持续培训要求。

- The applicant must demonstrate that key individuals, representatives, directors and management satisfy fit-and-proper, honesty, qualification, experience and continuous training requirements.
- The application must select the specific FSP category and financial product category, and include business description, organisation structure, compliance arrangements, financial information, key individual information and representative arrangements.
- CASP-related business must register with the FIC as an accountable institution under Item 22 and establish AML/CFT, customer identification, transaction monitoring and reporting processes.

监管机构与法律依据Regulator & Statutory Basis

- FIC Directive 9(Travel Rule relating to crypto asset transfers)于 2025 年 4 月 30 日生效,适用于相关 accountable institutions 的 crypto asset transfers。
- Regulator: Financial Sector Conduct Authority (FSCA) for financial services provider authorisation under the FAIS Act; Financial Intelligence Centre (FIC) for AML/CFT and accountable institution registration and supervision.
- On 19 October 2022, FSCA declared crypto assets to be financial products under the FAIS Act, bringing advice or intermediary services relating to crypto assets into the FSP/CASP framework.
- FSP categories include Category I, II, IIA, III and IV. The category should be determined by service type, product class, discretionary investment management, hedge fund FSP or administration activity.
- FIC Directive 9 on the Travel Rule relating to crypto asset transfers took effect on 30 April 2025 and applies to relevant accountable institutions for crypto asset transfers.
适用业务范围Permitted Activities
- Category I:一般 advice / intermediary services,常用于经纪、介绍、咨询、非全权管理等业务。
- Category II:discretionary FSP,适用于全权投资管理;Category IIA 通常涉及 hedge fund FSP;Category III 涉及 administrative FSP;Category IV 涉及 assistance business FSP。
- Crypto Asset Service Provider:就 crypto assets 提供 advice 或 intermediary services,需要在 FAIS 框架下获得相应 FSP 授权。

- Category I: general advice or intermediary services, commonly used for brokerage, introduction, advisory and non-discretionary management.
- Category II: discretionary FSP for discretionary investment management. Category IIA generally covers hedge fund FSP. Category III covers administrative FSP, and Category IV covers assistance business FSP.
- Crypto Asset Service Provider: advice or intermediary services in relation to crypto assets require appropriate FSP authorisation under FAIS.
- If the business involves payments, remittance, fiat channels, wallets, exchanges or cross-border fund flow, FIC, banking, exchange control and other regulatory boundaries should also be assessed.

资本要求Capital Requirements
- FAIS FSP 并无适用于所有类别的单一最低资本数字;financial soundness 要求取决于 FSP 类别、产品类别、是否持有/控制客户资产、业务规模和财务风险。
- Category II/IIA/III 通常需要更强的财务资源、风险管理、合规监督和审计/报告能力。
- CASP 申请人应额外评估技术、钱包/托管、流动性、客户资产、保险或补偿安排、运营开支和 AML 系统成本。
- 正式申请前应以 FSCA 最新 licence category、fit and proper、financial soundness 和表格要求逐项核验。
- FAIS FSP does not impose one single minimum capital amount for all categories. Financial soundness depends on FSP category, product category, whether client assets are held or controlled, business scale and financial risk.
- Category II, IIA and III generally require stronger financial resources, risk management, compliance supervision and audit/reporting capability.
- CASP applicants should additionally assess technology, wallet/custody, liquidity, client assets, insurance or compensation arrangements, operating expenses and AML system costs.
- Before formal application, the latest FSCA licence category, fit-and-proper, financial soundness and form requirements should be checked item by item.
